Where the problem is
A traded PLC runs its general meetings on a website timetable as well as a postal one. The company must make available to its members on its website, for a continuous period beginning not later than 21 days before the meeting, the material section 1103(3) requires. In its application to a traded PLC, section 178 applies as if the subsection set out in section 1101 were substituted, and section 181 applies with the substitutions section 1102(1) makes, so the general notice rules are not the ones that apply.
Requests to change the agenda are governed by a receipt deadline, not a posting deadline. A request by a member to put an item on the agenda or to table a draft resolution under section 1104(1)(a) must be received by the company as section 1104(2) requires. To allow a member to use that right, the traded PLC must ensure that the date of the next annual general meeting is dealt with as section 1104(4) requires.
What the Companies Act 2014 requires
Sections 1100 to 1103 govern equal treatment of shareholders and the notice of general meetings of a traded PLC. Sections 1104 to 1107 govern the right to put items on the agenda, to table draft resolutions, to participate by electronic means and to ask questions. Each of those rights belongs to the member, so the company's role is to make the right usable rather than to grant it.
Sections 1108 to 1110 govern proxies, voting by correspondence and the establishment and publication of voting results. A traded PLC must ensure that a voting result established in accordance with section 1110 is published on its website not later than the expiry of 15 days after the date of the meeting at which the result was obtained (section 1110(3)).
