The duties

Some company-law events happen once in a decade, or never, for a typical private company. A purchase of own shares, where the company buys back its own shares, is notified to Companies House within twenty-eight days on form SH03, with a further form to cancel the shares. A reduction of share capital by the solvency-statement route is filed within fifteen days of the resolution on form SH19, and there is a separate court route. Re-registration changes the company's type, for example from private to public, or from unlimited to limited.

These duties, along with financial assistance rules, variation of class rights and redenomination of shares, are real parts of the Companies Act 2006, but they do not fire for most companies in an ordinary year. They belong in the tail of the Act, covered so that a company facing one of them has the tool, but never opened by a company that does not need it.

The tool that solves it
